各単位は同社普通株式の1株と2分の1株を購入できるワラント（株式買い受け権）で構成される。それぞれのワラントの所有者は、私募完了後24カ月の期間に、0.25ドルの価格でさらに1株の普通株式を購入する権利を保有する。

placement offering of up to 7,000,000 units ("Units") at a price of $0.15 per

Unit to raise gross proceeds of up to $1,050,000.

Each Unit consists of one common share of the Company (a "Common Share") and

one-half of one Common Share purchase warrant (each whole warrant, a

"Warrant"). Each Warrant entitles the holder, on exercise thereof, to purchase

the completion of the private placement.
