Datawatch Corporation (http://www.datawatch.com/ ) (NASDAQ-CM: DWCH), a
leading global provider of visual data discovery solutions, announced today the
closing of an underwritten public offering of 2,018,250 shares of its common
stock at $28.50 per share. The aggregate amount of common shares sold reflects
the exercise in full by the underwriters of their option to purchase up to
263,250 additional shares of common stock to cover over-allotments.

Datawatch intends to use the net proceeds from the offering for product
development, commercialization of its products, working capital and other
general corporate purposes, including repayment of outstanding indebtedness.
